4. WELLNESS DISCLAIMER

All Services provided by 1632 Wellness Club are non-medical wellness experiences intended for relaxation, recovery, and general well-being.

We do not provide medical diagnosis, treatment, or healthcare services.

5. INDEPENDENT MEDICAL PROVIDERS

Certain services, including IV Therapy and related medical wellness services, may be provided by independent licensed healthcare professionals or third-party providers.

These providers operate independently and are solely responsible for their medical judgment, treatment, and compliance with applicable laws.

1632 Wellness Club is not responsible for medical services provided by third parties.

6. ASSUMPTION OF RISK

You acknowledge and assume all risks associated with participation, including but not limited to:

Physical strain
Heat or cold exposure
Pressure-based therapy (HBOT)
Mechanical devices (Aescape)
Electrical or electromagnetic stimulation (PEMF)
Allergic or adverse reactions
Dizziness, fainting, or discomfort
Injury or illness

Participation is voluntary.

7. BOOKINGS, CANCELLATIONS & REFUSAL OF SERVICE

We reserve the right to:

Refuse service
Reschedule appointments
Cancel bookings
Modify availability

Cancellation policies may include fees, forfeitures, or restrictions.

Failure to comply may result in loss of access or membership privileges.

8. MEMBERSHIPS

Memberships may include:

Recurring billing
Automatic renewal
Usage limitations
Non-transferability
Freeze or cancellation policies

We reserve the right to modify or terminate memberships for violations or misuse.

9. PAYMENTS

You authorize us to charge all applicable fees including:

Late cancellations
No-shows

All sales are final unless otherwise required by law.

10. FACILITY RULES

We may remove any guest for violation of rules.

11. MEDIA RELEASE

You grant 1632 Wellness Club permission to capture and use photos, videos, or likeness for marketing, promotional, or business purposes unless you explicitly opt out in writing.

12. INTELLECTUAL PROPERTY

All branding, content, designs, systems, and materials are owned by 1632 Wellness Club and may not be copied or used without written permission.

13. PRIVACY & COMMUNICATIONS

17. LIMITATION OF LIABILITY

Total liability shall not exceed the amount paid by you in the last 30 days.

18. INDEMNIFICATION

You agree to indemnify and hold harmless 1632 Wellness Club from any claims arising from:

19. DISPUTE RESOLUTION

Before arbitration, parties agree to attempt informal resolution in good faith.

If unresolved, disputes will be resolved through binding arbitration in New York State.

“1632 Wellness Club” refers to the company, its owners, operators, employees, contractors, affiliates, partners, and authorized representatives.

“Services” include, but are not limited to:

Aescape robotic massage sessions
Hyperbaric sessions (HBOT)
PEMF wellness sessions
Red light sessions
IV drip services provided by independent licensed professionals
Recovery and relaxation experiences
Wellness memberships
Facility access
Booking systems
Digital forms and content
Concierge and hospitality services
Wellness events and experiences

“Member” refers to any individual with an active membership, booking, account, or participation record with 1632 Wellness Club.

“Site” refers to all websites, booking platforms, digital forms, applications, and online systems operated by or on behalf of 1632 Wellness Club.

2. eligibility

You may only use our Services if:

You are at least 18 years old, or accompanied by a parent or legal guardian where permitted
You are legally capable of entering binding agreements
You provide accurate and truthful information
You acknowledge that you are personally responsible for determining whether participation is appropriate for you

Certain Services may not be suitable for all individuals.

3. wellness disclaimer

1632 Wellness Club is a private wellness and recovery destination and does not provide medical care, healthcare services, medical diagnosis, or medical treatment.

The Services offered by 1632 Wellness Club are intended exclusively for general wellness, relaxation, recovery, and lifestyle purposes and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Participation in Services may involve inherent risks, including but not limited to:

Dizziness
Fatigue
Heat sensitivity
Claustrophobia
Dehydration
Skin sensitivity
Physical discomfort
Allergic reactions
Equipment-related risks

Results and individual experiences may vary.

You are encouraged to seek guidance from a qualified healthcare professional regarding any personal health concerns before participating in any Service.

You agree to disclose any relevant conditions, sensitivities, injuries, limitations, implants, pregnancy, or other circumstances that could affect your participation.

4. assumption of risk

By participating in any Services or entering the facility, you voluntarily assume all risks associated with participation, including known and unknown risks.

You acknowledge that wellness and recovery services may involve physical, environmental, electrical, pressure-related, or heat-related exposure.

Participation is voluntary and entirely at your own discretion.

5. liability waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE AND HOLD HARMLESS 1632 WELLNESS CLUB, ITS OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LANDLORDS, PARTNERS, SERVICE PROVIDERS, AND REPRESENTATIVES FROM ANY CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, OR EXPENSES ARISING OUT OF OR RELATED TO:

Participation in Services
Use of facilities or equipment
Responses to wellness services
Scheduling interruptions or delays
Technology or equipment malfunctions
Personal property damage, loss, or theft
Injuries or incidents occurring on the premises
Negligence other than gross negligence or willful misconduct

6. bookings & cancellations

Appointments may require advance reservations, valid payment methods, signed waivers, and completed intake forms.

Cancellation and rescheduling policies may include:

Late cancellation fees
No-show charges
Session forfeitures
Membership usage limitations
Expiration periods for packages or credits

1632 Wellness Club reserves the right to refuse, reschedule, modify, or cancel appointments or Services at its discretion.

7. memberships

Memberships are subject to separate membership policies and agreements.

Membership terms may include:

Recurring billing
Automatic renewals
Usage limitations
Reservation requirements
Freeze or pause policies
Guest restrictions
Non-transferability
Termination rights

Failure to maintain valid payment information may result in suspension or cancellation of membership access.

8. payment terms

By providing payment information, you authorize 1632 Wellness Club to charge all applicable membership fees, session fees, cancellation charges, retail purchases, taxes, and other authorized charges.

Unless otherwise stated, all sales are final and non-refundable to the maximum extent permitted by law.

9. facility rules

To maintain a safe, respectful, and elevated wellness environment, all guests and members agree to:

Follow staff instructions
Respect facility policies and etiquette
Use equipment responsibly
Maintain appropriate hygiene standards
Refrain from disruptive, unsafe, or inappropriate behavior
Avoid intoxication or impairment while using Services

1632 Wellness Club reserves the right to deny access, remove individuals from the premises, suspend memberships, or refuse Services for safety concerns, misconduct, policy violations, harassment, or inappropriate behavior.

10. intellectual property

All branding, logos, trademarks, graphics, photography, videos, digital content, designs, wellness concepts, and materials associated with 1632 Wellness Club are protected intellectual property owned by 1632 Wellness Club or its licensors.

No content may be copied, reproduced, distributed, modified, published, or commercially used without prior written permission.

11. privacy

Your use of the Services is subject to our Privacy Policy and related data practices regarding booking information, membership data, communications, digital forms, waiver records, and operational records.

By using the Services, you consent to such collection and use of information.

12. electronic communications

By submitting forms electronically, signing digital waivers, creating accounts, or communicating through our platforms, you consent to receive electronic communications, notices, confirmations, disclosures, and agreements.

Electronic signatures and records shall have the same legal effect as physical signatures and paper records.

13. disclaimers

ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1632 WELLNESS CLUB DISCLAIMS ALL WARRANTIES, INCLUDING:

Uninterrupted availability
Error-free operation
Suitability for individual wellness goals or expectations
Specific wellness or recovery outcomes

We do not guarantee individual experiences, preferences, or results.

14. limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1632 WELLNESS CLUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO 1632 WELLNESS CLUB DURING THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. indemnification

You agree to defend, indemnify, and hold harmless 1632 Wellness Club and its affiliates, owners, employees, contractors, partners, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses, including legal fees, arising from:

Your use of the Services
Violation of these Terms
Violation of applicable laws
Misconduct or inappropriate behavior
Damage caused by you to persons or property

16. no medical relationship

Use of the Services does not create any doctor-patient, healthcare provider-patient, therapist-client, or medical relationship between you and 1632 Wellness Club or any of its staff, contractors, affiliates, or partners.

17. arbitration agreement

ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS, MEMBERSHIPS, BOOKINGS, FACILITY ACCESS, OR SERVICES SHALL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION.

YOU WAIVE:

The right to a jury trial
Participation in class actions
Participation in representative proceedings
Consolidated legal actions

Arbitration shall take place in the State of New York unless otherwise required by applicable law.

18. governing law

These Terms shall be governed by and interpreted under the laws of the State of New York, without regard to conflict-of-law principles.

1632 Wellness Club reserves the right to modify, update, or revise these Terms at any time without prior notice.

Continued use of the Services following any updates constitutes acceptance of the revised Terms.
